Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ModernLawOffice platform, including the website at modernlawoffice.com, all associated applications, APIs, and services (collectively, the "Service"). By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. You represent that you have the legal authority to enter into this agreement on behalf of yourself or the law firm you represent.

2. Description of Service

ModernLawOffice ("MLO," "we," "us," or "our") is a software-as-a-service platform that provides website building tools, client intake form management, AI-powered content generation, and practice management features designed specifically for licensed attorneys and law firms ("Users").

MLO is a technology platform, not a law firm. We do not provide legal advice, legal representation, or legal services of any kind. No attorney-client relationship is created between MLO and any party, including Users of our platform or visitors to websites created using our Service. Users are solely responsible for their legal practice, client relationships, and professional obligations.

3. Account Registration

3.1 Accurate Information. You must provide accurate, current, and complete information during registration and keep your account information up to date. Providing false or misleading information about your legal credentials or bar admission status is grounds for immediate account termination.

3.2 One Account Per Attorney or Firm. Each account is intended for use by a single attorney or law firm. You may not create multiple accounts to circumvent plan limitations or share account credentials with unauthorized parties.

3.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@modernlawoffice.com if you suspect unauthorized access to your account.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features of the selected plan. No credit card is required to start a trial. At the end of the 14-day trial period, your website will be unpublished and access to paid features will be suspended unless you add a payment method and subscribe to a paid plan. You may subscribe at any time during or after the trial.

5. Subscription and Payment

5.1 Plan Tiers. The Service is offered in multiple subscription tiers (currently Solo at $49/month, Firm at $99/month, and Enterprise at $199/month). Each tier includes different features and usage limits as described on our pricing page. We reserve the right to modify plan features and introduce new tiers.

5.2 Monthly Billing and Auto-Renewal. Subscriptions are billed monthly and automatically renew at the end of each billing cycle unless cancelled. Your billing cycle begins on the date you subscribe to a paid plan. Payment is processed automatically on each billing date via Stripe using the payment method on file.

5.3 Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months. Upon cancellation, your website will be unpublished and your data will be available for export for 30 days (see Section 11).

5.4 Price Changes. We reserve the right to change our pricing. Existing subscribers will receive at least 30 days' notice before any price increase takes effect on their account. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Content Ownership

6.1 Your Content. You retain all ownership rights to the content you create and publish using the Service, including text, images, attorney biographies, practice area descriptions, and any other materials you upload or generate. By using the Service, you grant MLO a limited, non-exclusive, royalty-free license to host, display, cache, and transmit your content solely for the purpose of providing and operating the Service.

6.2 Bar Advertising Compliance. You are solely responsible for ensuring that all content published on your website complies with applicable bar advertising rules, ethics regulations, and laws in every jurisdiction where you are licensed to practice. MLO does not review content for legal advertising compliance and makes no representations about the compliance of any content with any jurisdiction's rules.

7. AI-Generated Content

The Service includes AI-powered content generation features that assist Users in creating website copy, practice area descriptions, and other text. All AI-generated content is provided as a draft and starting point only.

You must review, edit, and approve all AI-generated content before publishing. MLO does not guarantee the accuracy, completeness, or legal compliance of any AI-generated content. You are solely responsible for verifying that all AI-generated text is factually correct and complies with your jurisdiction's bar advertising and ethics rules before publication. MLO is not liable for any claims, damages, or disciplinary action arising from the use or publication of AI-generated content.

8. Acceptable Use

You agree not to use the Service to:

  • Publish content that is illegal, fraudulent, defamatory, or obscene.
  • Create misleading attorney advertising or make false claims about legal qualifications, experience, or results.
  • Impersonate another attorney, law firm, or person, or misrepresent your affiliation with any entity.
  • Send spam, unsolicited communications, or use the platform to harvest contact information.
  • Collect personal information from website visitors in violation of applicable privacy laws.
  • Distribute malware, engage in phishing, or use the platform for any form of cyberattack.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Violate legal advertising rules applicable in your jurisdiction(s) of licensure.

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

With respect to client data collected through intake forms on User websites, the User (attorney or law firm) is the data controller and MLO acts as a data processor. MLO processes client data solely on behalf of the User and in accordance with the User's instructions. MLO does not access, use, or share client intake data for its own purposes.

10. Intellectual Property

10.1 MLO Platform. The Service, including all software, code, templates, design elements, documentation, and branding, is owned by ModernLawOffice and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works from any part of the Service.

10.2 Your Content and Data. You retain all ownership rights to the content you create and the data you collect through the Service. Upon termination, you may export your content and data as described in Section 11.

11. Termination

11.1 Termination by You. You may cancel your subscription and close your account at any time from your account settings. Upon cancellation, your website will be unpublished immediately and your data will be available for export for 30 days.

11.2 Termination by MLO. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion. Where possible, we will provide notice before termination except in cases of serious Terms violations.

11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days to allow export, after which it will be permanently deleted within 90 days. Sections regarding intellectual property, limitation of liability, indemnification, disclaimer of warranties, and dispute resolution survive termination.

12. Limitation of Liability

To the maximum extent permitted by applicable law, MLO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or related to the Service shall not exceed the total amount you paid to MLO in the twelve (12) months immediately preceding the event giving rise to the claim.

MLO is not responsible for any disciplinary action, malpractice claims, regulatory consequences, or client outcomes arising from content published by Users on websites created through the Service or from the use of AI-generated content. Users assume full responsibility for their legal practice and compliance with professional conduct rules.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any content generated by AI features will be accurate, complete, or suitable for any particular use.

14. Indemnification

You agree to indemnify, defend, and hold harmless MLO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) content you publish through the Service; (c) your violation of these Terms; (d) your violation of any bar advertising rules, ethics regulations, or applicable laws; or (e) any third-party claims related to websites you create using the Service.

15. Dispute Resolution

15.1 Informal Resolution. Before filing any formal legal claim, you agree to contact us at support@modernlawoffice.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

15.3 Arbitration. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, or remotely, at the election of the claimant.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

17. General Provisions

17.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MLO regarding the Service.

17.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 No Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. MLO may assign its rights and obligations without restriction.
